Please read these Terms of Service ("Terms") carefully before using the Nexus AI platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Nexus AI, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Nexus AI provides an AI workflow automation platform that allows users to create, manage, and run automated workflows connecting various third-party services via APIs. Features include AI task execution, data transformation, integration management, and analytics.

3. Account Registration

To use our Services, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your password
Notify us immediately of any unauthorized account use
Be responsible for all activity that occurs under your account

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Transmit spam, malware, or harmful content
Attempt to gain unauthorized access to our systems
Use the Services to build a competing product
Engage in any activity that disrupts or interferes with the Services
Scrape, copy, or reproduce our platform without written permission

5. Intellectual Property

The Services and all related content, features, and functionality are owned by Nexus AI and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data or content you upload to the platform.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.

7. Uptime and Service Levels

For paid plans, we target 99.9% monthly uptime. In the event of downtime below this threshold, you may be eligible for service credits as described in our SLA documentation. Credits are your sole remedy for downtime.

8. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We will not use your data to train AI models without explicit consent.

9. Limitation of Liability

To the maximum extent permitted by law, Nexus AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Services. Our total liability to you for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms. You may close your account at any time through your account settings. Upon termination, your right to access the Services ceases immediately.

11. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days notice of material changes via email or in-platform notification. Continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
